General terms

These Terms of Service govern access to and use of services provided by FibuMaxRat through FibuMaxRat.pro. By using our services you acknowledge that you have read and accepted these terms. The relationship is professional and subject to Swiss law and applicable regulations relevant to accounting advisory for small companies.

Eligibility and permitted use

Access to FibuMaxRat services is available to individuals and legal entities able to enter into binding agreements under applicable law. Use of services must comply with these terms and all applicable Swiss and local laws.

Users must be of legal age in their jurisdiction to form a binding contract. Minors are not permitted to register for professional advisory services without valid authorization.

Services must be used for lawful purposes only. Prohibited uses include submission of fraudulent information, activities that facilitate business crime, or other conduct that contravenes Swiss law.

Availability of specific services may be restricted by local law. FibuMaxRat operates within Switzerland and may decline service where legal limitations apply.

User accounts

To access certain services you may be required to create an account. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.

You must provide accurate and current information when creating an account and update details as needed to ensure correct provisioning of advisory services.

Protect your account credentials and notify us promptly of any suspected unauthorized access. We employ security measures but cannot be held responsible for breaches resulting from compromised user credentials.

Accounts are personal and non-transferable unless explicitly agreed in writing by FibuMaxRat.

If you suspect your account has been compromised, contact us immediately via the contact information on FibuMaxRat.pro so we can take appropriate steps to secure the account.

We may suspend or restrict access to accounts where there is suspected misuse, security concerns, or violation of these terms. Actions will be proportionate and aimed at protecting clients and data.

Scope of services

FibuMaxRat provides accounting advisory, bookkeeping support, and related consulting services tailored to small companies operating in Switzerland. Services are described on FibuMaxRat.pro and may be adjusted to reflect client needs and regulatory requirements.

Service features, availability and descriptions may be updated. We will communicate material changes to engaged clients with reasonable notice where operationally possible.

We strive to make services available but cannot ensure uninterrupted access. Service interruptions may occur for maintenance, updates, or factors beyond our control.

Client responsibilities and rules

Clients must cooperate with FibuMaxRat and provide accurate documents and timely information required to deliver advisory services.

  • Provide complete and accurate business records and supporting documentation.
  • Respond to requests for information in a timely manner to enable compliance with reporting deadlines.
  • Comply with applicable tax, accounting and corporate laws; seek legal advice where required.
  • Maintain necessary authorizations for FibuMaxRat to access third-party systems if required for service delivery.
  • Notify FibuMaxRat promptly of changes to company structure, authorized signatories, or contact information.
  • Do not submit fraudulent, misleading or forged documents.
  • Respect confidentiality of communications and do not misuse reports or deliverables provided by FibuMaxRat.

Client-provided data and materials

Clients retain ownership of documents and data they provide. By submitting materials you grant FibuMaxRat the rights necessary to perform the agreed services.

Ownership of client records remains with the client unless otherwise agreed in writing. FibuMaxRat may retain copies for compliance and archival purposes as required by law.

Clients grant FibuMaxRat a limited, non-exclusive license to use submitted data and documents solely for delivering advisory services and fulfilling contractual obligations.

Clients are responsible for the legality, accuracy and completeness of information provided. FibuMaxRat relies on client-supplied data to prepare analyses and reports.

Requests to remove client materials will be evaluated in accordance with contractual obligations and legal retention requirements. Some records may be retained to comply with statutory duties.

Intellectual property

All intellectual property rights in materials, methodologies and content provided by FibuMaxRat remain the property of FibuMaxRat or its licensors. Clients are granted only the rights expressly stated in these terms or in a separate agreement.

  • Do not reproduce, distribute or create derivative works of proprietary FibuMaxRat materials without prior written consent.
  • Do not remove proprietary notices or markings from materials provided by FibuMaxRat.
  • Use of FibuMaxRat activity and activity names requires prior written authorization.

Paid services and billing

Certain advisory services are fee-based. Fees, billing cycles and invoicing terms are set out in engagement letters or order confirmations provided to clients.

Pricing is set per engagement and may depend on scope, complexity and agreed deliverables. Estimates are provided in good faith based on available information.

Payments accepted include bank transfer and other methods specified in invoices. Payment terms are set in the engagement agreement and invoices must be paid within the stated period.

Subscription or retainer arrangements are subject to the specific terms agreed in writing and may include recurring billing until terminated in accordance with the agreement.

Refunds, if any, are handled per the terms of the engagement. Refund decisions consider work performed up to the point of termination and reasonable administrative costs.

Cancellation terms are defined in the engagement letter. Early termination may incur charges for services rendered and reasonable wind-down costs.

Clients are responsible for applicable taxes on fees. Invoices will indicate VAT or similar taxes where required by Swiss law.

We may update pricing for future services with notice. Existing engagements are governed by the pricing agreed at the time of contracting unless otherwise stated.

Non-payment may result in suspension of services, collection actions and the application of interest or fees as permitted by law.

Professional disclaimer

Advisory materials and reports provided by FibuMaxRat are for informational purposes to assist small companies with accounting matters. They do not constitute legal or tax advice tailored to every possible circumstance; clients should consult their own legal or tax advisors when necessary.

Limitation of liability

To the maximum extent permitted by applicable law, FibuMaxRat's liability arising from services is limited to direct damages and capped at amounts paid for the relevant service during the prior 12 months. We are not liable for indirect, special or consequential losses except as required by mandatory law.

Third-party services and references

Where we recommend or integrate third-party products, those services are subject to their own terms. FibuMaxRat does not assume responsibility for third-party performance or availability.

Termination of services

Either party may terminate the engagement in accordance with the termination provisions in the engagement letter. Termination does not relieve either party of obligations accrued prior to termination.

On termination, outstanding fees become due, and FibuMaxRat may retain copies of records as required for regulatory compliance. Client access to certain systems may be suspended.

Privacy and data protection

FibuMaxRat processes personal data in accordance with applicable Swiss data protection laws. Details of data handling, security measures and data subject rights are provided in our privacy policy available at FibuMaxRat.pro/privacy.

Communications and notices

Official notices may be provided via email, the postal address on record or postal mail to the address: Schomattenstrasse 13, 9630 Wattwil, Switzerland. Important notices regarding service changes or legal matters will be delivered through these channels.

Amendments to terms

We may amend these terms to reflect changes in law, service offerings or industry practice. Material changes will be communicated to clients; continued use after notice constitutes acceptance.

Governing law

These terms are governed by the substantive laws of Switzerland. Parties submit to the exclusive jurisdiction of Swiss courts unless mandatory law provides otherwise.

Dispute resolution

Disputes will be addressed in good faith through negotiation. If unresolved, disputes shall be brought before the competent courts in Switzerland in accordance with governing law.
